According to our By-Laws:
12. ELECTIONS AND VACANCIES OF BOARD OF DIRECTORS.F.
Vacancies. A vacancy on the Board shall be filled by the President in accordance with procedures established by the Nominating Committee. Each Director or Officer so appointed shall hold office until their successor is duly elected or appointed, as the case may be.
